CONTRATO DE CONFIDENCIALIDADE BMV NON-DISCLOSURE AGREEMENT

Abaixo firmado, assume o compromisso de manter confidencialidade e sigilo sobre todas as informações técnicas e outras relacionadas ao projeto intitulado: BRASIL MATA VIVA / IMEI – CONSULTORIA E TREINAMENTOS EMPRESARIAIS LTDA / BTAAB TRANSAÇÕES DE ATIVOS AMBIENTAIS DO BRASIL LTDA., doravante denominada BMV/IMEI/BTAAB do qual é PARCEIRO a que tiver acesso durante a execução do Projeto, relacionadas a esta tecnologia, denominado PARCEIRO

As partes acima identificadas e qualificadas resolveram celebrar o presente CONTRATO DE

CONFIDENCIALIDADE objetivando resguardar as informações, as quais o PARCEIRO terá acesso, relativas à BMV/IMEI/BTAAB , seus clientes e/ou fornecedores, sendo regido pelas seguintes cláusulas

IMEI – CONSULTORIA E TREINAMENTOS EMPRESARIAIS LTDA., a legal entity of private Law, registered under Company Registration Number CNPJ (MF) nº. 01.843.447/0001-95, whose registered office is at Rua 9, 1647, Setor Marista, Goiânia - GO – Brasil – CEP 74150-130, herein represented by Ms. MARIA TEREZA UMBELINO DE SOUZA, a Brazilian citizen, economist, bearer of ID nº 1.581.822 – SSP-GO and domiciled in the city of Goiânia, and by BTAAB - TRANSAÇÕES DE ATIVOS AMBIENTAIS DO BRASIL LTDA., a legal entity of private Law, registered under CNPJ nº 11.346.060/0001-87, whose registered office is at Rua 9,Qd E-12, Lt. 11 nº 1647, Setor Marista, Goiânia – GO – Brasil – CEP 74150-130, herein represented by Mr. CARLOS AYRTON ALLA, a Brazilian citizen, holder of ID nº 002.364.410 – ITEP/RN, domiciled in the city of Goiânia. By signing this document, agrees to uphold the privacy and confidentiality of all technical information, information pertaining to the Project, that I may have access to during the Project execution, or any other information relating to the technology: BRASIL MATA VIVA / IMEI – CONSULTORIA E TREINAMENTOS EMPRESARIAIS LTDA / BTAAB TRANSAÇÕES DE ATIVOS AMBIENTAIS DO BRASIL LTDA., hereinafter denominated BMV/IMEI/BTAAB, of which, hereforth denominated PARTNER.

The Parties herein identified and qualified decided to celebrate the present instrument, aiming to safeguard the information, to which the PARTNER will have access to on behalf of BMV/IMEI/BTAAB, their clients and/or suppliers, as governed by the following terms and conditions:

CLÁUSULA PRIMEIRA – DO OBJETO - O presente contrato disciplina as condições e o tratamento que deverão ser empregados a todas as informações relativas à BMV/IMEI/BTAAB , seus clientes e/ou fornecedores, a que terá conhecimento e/ou acesso ao PARCEIRO em razão da relação comercial mantida entre as partes, submetendo-se irretratável e irrevogavelmente a todas as cláusulas aqui dispostas.

Parágrafo Primeiro – O presente contrato NÃO gera qualquer outro direito, obrigação ou vínculo entre as partes, seja de que natureza for, que não os expressamente previstos aqui, em especial, vínculos de sociedade, associação ou obrigação de contratar.

Parágrafo Segundo – As partes se responsabilizam civil e criminalmente pela veracidade e autenticidade das informações prestadas, bem como pela eventual omissão de informações que deveriam ser prestadas, visando ao induzimento vicioso da outra parte à incorreta constatação dos fatos.

CLÁUSULA SEGUNDA – DAS DEFINIÇÕES DE INFORMAÇÕES CONFIDENCIAIS - Serão consideradas informações confidenciais todas aquelas as quais o PARCEIRO tiver acesso em virtude ou por meio da relação comercial mantida entre a mesma e a BMV/IMEI/BTAAB, seus prepostos ou representantes. Neste sentido incluem-se, mas não se limitam, a desenhos de produtos, processos de fabricação e/ou inspeção, informes técnicos ou quantitativos e comerciais, informes de homologação, ensaios de resistência e/ou fadiga, ensaios de try-out de máquinas, equipamentos, ferramentas ou dispositivos, executados interna ou externamente, know-how, técnicas, design, especificações, cópias, fórmulas, modelos, fluxogramas, amostras, fotografias, plantas, programas de computador, contratos, planos de negócios, processos, projetos, conceitos de produto, clientes, nomes de revendedores e/ou distribuidores, preços, custos, definições e informações mercadológicas, invenções e ideias, informações técnicas, financeiras ou comerciais.

Parágrafo Primeiro – Este tratamento deverá ser despendido a toda e qualquer informação, segredo comercial ou informação relevante, sendo que, em linhas gerais, aplicar-se-ão os seguintes conceitos:

a) Informação confidencial será toda e qualquer informação desconhecida por terceiros e que seja valiosa para qualquer das partes; ou ainda cuja divulgação possa ajudar os concorrentes ou prejudicar a BMV/IMEI/BTAAB. Essas informações incluem

FIRST CLAUSE – OF THE OBJECT – The present instrument shall cover the conditions and treatment and applies for all information relating to BMV/IMEI/BTAAB, their clients and/or suppliers who will have knowledge of and/or access to the PARTNER as a result business relationship between the Parties, is irreversible and irrevocably binding to all clauses herein described.

First Paragraph – The present instrument does not create any other right, obligation or relationship between the Parties, by any nature, other than those expressly set forth herein, in particular, as it relates to partnerships, associations or any contracting obligation.

Second Paragraph – The Parties are civilly and criminally liable for the veracity and authenticity of the provided information, as well as for the omission of information that should be provided, aiming to viciously induce the other Party to the make incorrect statements.

SECOND CLAUSE – OF THE CONFIDENTIAL INFORMATION DEFINITIONS – Classify as confidential information: all which the PARTNER has access under or through the business relationship between itself and BMV/IMEI/BTAAB, their agents or representatives. This includes, but is not limited to product designs, manufacturing processes and/or inspection, technical reports or commercial and quantitative, homologation report, resistance testing and/or fatigue, machinery tryout testing, equipment, tools or devices, internally or externally performed, know-how, techniques, design, specifications, copies, formulas, templates, flow charts, samples, photographs, business plans, processes, projects, computer software, product concepts, clients, reseller and/or distributors, prices, cost, market definition and information, ideas and inventions, technical, financial or commercial information.

First Paragraph – This treatment applies to all information, trade secrets or relevant information, and, in general, will relate to the following concepts:

a) Confidential Information is any unknown information by Third Party, which is valuable for either Party; or whose disclosure would help competitors or harm the BMV/IMEI/BTAAB. This information includes also those obtained from Third Parties which the PARTNER is obligated to maintain confidential.

b) Trade Secret is confidential information with legal protection, in particular, if it is demonstrated that the information is generally unknown, useful economically

também aquelas obtidas de terceiros, sendo o PARCEIRO obrigado a manter como confidenciais.

b) Segredo comercial será uma informação confidencial com proteção legal, em especial, se for demonstrado que a informação é em geral desconhecida, útil do ponto de vista econômico e mantida como um segredo.

c) Informação relevante será toda informação que possa ser utilizada na tomada de decisão pelo investidor/acionista das partes ou considerada importante na tomada de decisão de investimento.

CLÁUSULA TERCEIRA – DAS LIMITAÇÕES DE CONFIDENCIALIDADE – Os direitos e obrigações aqui previstos não se aplicam às informações que:

a) Sejam de conhecimento público no momento da revelação;

b) Sejam tornadas públicas oficialmente pela BMV/IMEI/BTAAB antes ou depois de repassadas à PARCEIRO;

c) Já estejam comprovadamente em poder do PARCEIRO como parte do resultado de sua própria pesquisa;

d) Tenham sido legitimamente recebidas de terceiros;

e) Sejam reveladas em cumprimento à determinação judicial ou equivalente somente na extensão de tais ordens, respeitando o previsto neste presente instrumento no capítulo das informações prestadas a órgãos governamentais ou ao Poder Judiciário;

f) Consideradas judicialmente como não confidenciais; e/ou;

g) Seja expressamente autorizada sua divulgação pela BMV/IMEI/BTAAB, podendo os Diretores, Administradores e procuradores, fazê-lo por comunicação oficial em papel timbrado.

Parágrafo Primeiro – Esta lista de exceções é exaustiva e não exemplificativa, não se aplicando a casos análogos ou não expressamente aqui previstos. Em casos de dúvida quanto à utilização de determinada informação confidencial, a parte deverá solicitar à outra parte, por escrito, seu posicionamento a respeito.

CLÁUSULA QUARTA – DAS OBRIGAÇÕES DO PARCEIRO – Serão consideradas obrigações do PARCEIRO:

THIRD CLAUSE – LIMITS OF CONFIDENTIALITY – The rights and obligations herein described shall not apply to information that:

a) Is public knowledge at the time of disclosure;

b) Is officially made public by BMV/IMEI/BTAAB , disclosed before or after to the PARTNER;

c) Has proven to be in possession of the PARTNER as part of the research outcome;

d) Has been lawfully received from Third Parties;

e) Is disclosed to pursuant by Court Order or equivalent only to the extent of such orders, respecting the provisions of the present instrument in the chapter of information provided to government agencies or the Judiciary;

f) Considered as legally non-confidential; and/or

g) Its disclosure is expressly authorized by BMV/IMEI/BTAAB, whereby the Directors, Officers and prosecutors provide it through official communication on letterhead.

First Paragraph – The list of exceptions is exhaustive and not illustrative, and does not apply to analogous case or not expressly set forth herein. In case of doubts as to the use of certain confidential information, the Party shall request to the other Party, in writing, its position in regard.

FOURTH CLAUSE – OF THE PARTNER´S OBLIGATIONS – Should be considered PARTNER´s obligation:

a) Must be aware of information has to remain in full confidentiality, handling it carefully, including all physical or electronic copies that are in possession or control, obliging officers, employees, representatives, agents advisors and consultants to do so as well;

b) Return all physical and electronic copies that are in his possession at the time of any termination of commercial relationship between the Parties, or if it is formally

a) Cuidar para que as informações às quais tiver acesso mantenham-se em pleno sigilo, tratando com cuidado, inclusive, todas as cópias físicas ou eletrônicas que estejam sob sua posse ou controle, obrigando seus diretores, funcionários, prepostos, agentes, assessores e consultores a assim procederem;

b) Devolver todas as cópias físicas e eletrônicas que tiverem em seu poder no momento de eventual rompimento da relação comercial existente entre as partes, ou se assim for formalmente solicitado pela outra parte;

c) Manter e respeitar todos os termos deste acordo, caso o PARCEIRO sofra um processo de reestruturação societária;

d) Respeitar todos direitos de propriedade industrial e intelectual da BMV/IMEI/BTAAB relativos às informações confidenciais;

e) Não desenvolver qualquer trabalho que possua as mesmas bases ou que envolvam informações semelhantes pertencentes a qualquer empresa concorrente diretamente da BMV/IMEI/BTAAB, entendendo-se por estas as empresas do ramo agrícola ou qualquer outra que possa obter benefícios ou vantagens com a utilização e/ou divulgação destas informações.

f) Manter sigilo das informações da BMV/IMEI/BTAAB, mesmo após a extinção deste contrato;

g) Não usar as informações da BMV/IMEI/BTAAB de modo direto ou indireto para quaisquer finalidades sem antes obter o prévio consentimento por escrito da BMV/IMEI/BTAAB;

h) Não vincular o logotipo, nome comercial ou qualquer outro que identifique a BMV/IMEI/BTAAB, sem sua prévia e expressa autorização, sob pena de responsabilização por violação de marca mediante o disposto na legislação brasileira vigente; e

i) Não efetuar qualquer cópia de informações confidenciais sem o consentimento prévio e por escrito da BMV/IMEI/BTAAB.

CLÁUSULA QUINTA – DAS OBRIGAÇÕES DA BMV/IMEI/BTAAB – Serão consideradas obrigações da BMV/IMEI/BTAAB:

a) Proceder com tratamento recíproco no que se refere a todas as informações identificadas como

requested by the other Party;

c) Should the PARTNER suffer corporate restructuring, maintains and respects all terms of the present instrument;

d) Complies with all BMV/IMEI/BTAAB industrial and intellectual property rights relating to confidential information;

e) Does not undertake any work/project that has the same basis or involves similar information belonging to any direct competitor to BMV/IMEI/BTAAB, understood to be agricultural industry companies or any other that can obtain benefits or advantages with the use and/or disclosure of these information;

f) Maintains confidential BMV/IMEI/BTAAB information, even after the termination of the present instrument;

g) Does not use the BMV/IMEI/BTAAB information neither directly nor indirectly for any purpose without first obtaining a prior written consent by BMV/IMEI/BTAAB;

h) Does not link the logotype, commercial name or any other instrument that identifies to BMV/IMEI/BTAAB, without prior and express authorization, under subject to liability of trademark infringement under the provisions of the current Brazilian Legislation; and

i) Does not copy any confidential information without a prior written permission from BMV/IMEI/BTAAB.

FIFTH CLAUSE – OF THE BMV/IMEI/BTAAB´S OBLIGATIONS – Should be considered BMV/IMEI/BTAA´s obligation:

a) To proceed with reciprocal treatment with regard to all information identified as confidential, of which were submitted by the PARTNER; and

b) To make all efforts for the maintenance of the current business relationship.

SIXTH CLAUSE – OF THE INFORMATION PROVIDED TO GOVERNMENTAL BODY OR TO JUDICIARY – In a specific and restricted condition to this operation, all information that may have to be provided to governmental bodies or in pursuance of judicial decisions should be communicated prior to BMV/IMEI/BTAAB, even when the exact time of

confidenciais que forem enviadas pelo PARCEIRO; e

b) Envidar todos seus esforços para a manutenção da presente relação comercial.

CLÁUSULA SEXTA – DAS INFORMAÇÕES PRESTADAS A ÓRGÃOS GOVERNAMENTAIS OU AO PODER JUDICIÁRIO – Em condição específica e restrita a esta operação, toda informação que eventualmente tiver que ser prestada a órgãos governamentais ou em cumprimento de decisões judiciais deverá ser previamente comunicada à BMV/IMEI/BTAAB, inclusive quando do momento exato do recebimento da notificação e/ou intimação, sob pena de responsabilização criminal.

Parágrafo Primeiro – Neste sentido, deverá, da mesma forma, ser permitido à BMV/IMEI/BTAAB o direito de auxiliar na elaboração e organização das informações a serem prestadas, se assim ela manifestadamente quiser. Poderá a BMV/IMEI/BTAAB apenas solicitar que lhe seja permitido apreciar a resposta previamente ao cumprimento da exigência.

Parágrafo Segundo – Todas as respostas a comunicados, memorandos ou qualquer outra de órgão comprovadamente competente para sua solicitação deverá conter estritamente as informações solicitadas, sendo veemente proibido a divulgação de outra informação que não seja claramente solicitada, inclusive não sendo aceita interpretação análoga ou extensiva ao pedido.

Parágrafo Terceiro – Qualquer desobediência ao descrito nestas cláusulas será entendido como violação contratual, ficando a outra parte sujeita ao rompimento unilateral da relação comercial, bem como à responsabilidade integral por perdas e danos à que der causa.

CLÁUSULA SÉTIMA – DA LIBERALIDADE – Toda e qualquer omissão e/ou tolerância das partes no tocante ao cumprimento do contrato será considerada como mera liberalidade, não gerando precedente nem direito adquirido de qualquer espécie à outra parte. Ocasionais concessões efetuadas de uma parte à outra serão consideradas eventos isolados, não importando em qualquer alteração dos termos pactuados no presente acordo.

CLÁUSULA OITAVA – DAS DISPOSIÇÕES GERAIS – O PARCEIRO não poderá pleitear, desmotivadamente, para si ou para terceiros, perdas, prejuízos, danos patrimoniais e/ou morais, lucros cessantes, multas, como decorrência do simples fato

BMV/IMEI/BTAAB can only require that it can be allowed to appreciate the response prior meeting the requirements.

Second Paragraph – All responses to releases, memos or any other instrument from competent body for such requirement must contain strictly the requested information so as being clearly forbidden the disclosure, including not accepting analogous or extensive interpretation to request.

Third Paragraph – Any disobedience to those describe in these clauses shall be construed as breach of contract, while the other Party subject to unilateral termination of the business relationship, as well as the entire liability for any loss or damage that has been caused.

SEVENTH CLAUSE – OF LIBERAL – Any omissions and/or tolerance of the Parties regarding the fulfillment of the contract will be considered as mere liberality, not resulting in precedent of any kind to the other Party. Occasional concessions provided by one Party to another will be considered isolated events, regardless of any change of terms agreed upon the present agreement.

EIGHTH CLAUSE – OF THE GENERAL PROVISIONS – The PARTNER cannot plead, disheartened, to itself or others, losses, injuries, property damage and/or moral, loss of profits, fines, as a result of the simple fact due to resolution of the contract between the Parties.

First Paragraph – If any provision of this Agreement is for any reason, invalid or unenforceable reputable, it remains fully valid and binding all remaining terms and conditions, thus generating effects in its fullest extent, in order to achieve the intention of the Parties.

Second Paragraph – Any amendment hereof shall be valid only if contained in a written document, properly identified as such, and signed by both Parties, through their legitimate representatives.

Third Paragraph – This Agreement extends to any Third Party, employee or agent of either Party who obtains access to shared information, which will be jointly and severally liable for the obligations hereunder.

Parágrafo Primeiro – Caso qualquer cláusula ou condição deste acordo seja, por qualquer razão, reputada inválida ou ineficaz, permanecerão plenamente válidas e vinculantes todas as cláusulas e condições restantes, gerando efeitos em sua máxima extensão, como forma de alcançar a vontade das partes.

Parágrafo Segundo – Eventuais alterações do presente instrumento somente serão válidas se constantes de documento escrito, devidamente identificado como tal, assinado por ambas as partes, nas pessoas de seus legítimos representantes.

Parágrafo Terceiro – O presente contrato estende-se a qualquer terceiro, funcionário ou preposto de qualquer das partes, que obtiver acesso às informações compartilhadas, o qual será solidariamente responsável pelas obrigações assumidas neste contrato.

Parágrafo Quarto – A relação de confidencialidade ora avençada será regida e submeter-se-á às leis brasileiras.

Parágrafo Quinto – Será responsabilidade de cada uma das partes tornar este documento de conhecimento dos seus funcionários e diretores envolvidos direta ou indiretamente por esta relação.

Parágrafo Sexto – O presente contrato constitui a integralidade do contratado entre as partes em relação à confidencialidade de informações, revogando-se ou substituindo-se qualquer outro que não validado ou retificado de acordo com os termos aqui constantes.

CLÁUSULA NONA – DO INÍCIO, VIGÊNCIA, RESILIÇÃO E DURAÇÃO NO TEMPO DO PRESENTE CONTRATO – O presente contrato passará a viger quando do início da relação comercial entre as partes que ensejou a proteção de informações confidenciais.

Parágrafo Primeiro – As obrigações de sigilo e manutenção das informações sob este instrumento perdurarão mesmo após o término ou rescisão da relação comercial entre as partes que ensejou a proteção de informações confidenciais.

CLÁUSULA DÉCIMA – DA CLÁUSULA PENAL – Em havendo violação dos direitos e obrigações previstos neste contrato, as partes acordam que haverá negociação entre elas para estipulação do valor devido a título de indenização com base no dano causado à parte prejudicada.

Fourth Paragraph – The relationship of confidentiality agreed herein, shall be governed by and shall be subject to the Brazilian Law.

Fifth Paragraph – It will be the responsibility of each Party to make this document available for their own officers and directors directly or indirectly involved in this relationship/partnership.

Sixth Paragraph – This Agreement constitutes the entire contract between the Parties regarding fully confidentiality of information, revoking or replacing any of those that are not validated or rectified in accordance with the terms hereof.

NINETH CLAUSE – FROM THE BEGINNING, EFFECTIVENESS, TERMINATION AND DURATION OF THIS AGREEMENT – This Agreement will be legally valid from the beginning of the business relationship/partnership between the Parties, which led to the protection of confidential information.

First Paragraph – The obligation of confidentiality and maintenance of information hereunder will persist even after the expiration of termination of the business relationship between the Parties, which led to the protection of confidential information.

TENTH CLAUSE – OF CRIMINAL CLAUSE – In case of violation of rights and obligations under this agreement, the Parties agree to there will be negotiations between them to stipulate of the amount due to compensation title based on damage caused on the aggrieved Party.

First Paragraph: In case of absence of agreement on the amounts, shall be subject to judicial review of loss and damage so as be legally arbitrated the amount of compensation to be paid.

Second Paragraph: In case of agreement of the Parties regarding the amounts, the present agreement shall be recorded in writing, which should be taken to homologation court.

ELEVENTH CLAUSE – OF THE JURISDICTION – Any legal disputes arising from the present instrument will be tried in the jurisdiction of the Court of the Municipality of Goiânia, Goiás (Foro da Comarca de Goiânia-GO), with expressly waiving to any other, even being privileged so as to resolve all doubt from the interpretation or application of the constant in the present contract.

Parágrafo Primeiro: Não havendo acordo sobre os valores devidos, ficarão sujeitos à apreciação judicial da perda e do dano, para que seja arbitrado juridicamente o valor da indenização a ser paga.

Parágrafo Segundo: Em havendo acordo das partes a respeito dos valores devidos, este acordo deverá ser lavrado em termo escrito que deverá ser levado à homologação judicial.

CLÁUSULA DÉCIMA PRIMEIRA – DO FORO – Fica eleito o Foro da Comarca de Goiânia-GO, com renúncia expressa a qualquer outro por mais privilegiado que seja, para dirimir toda e qualquer dúvida proveniente de interpretação e ou aplicação do constante no presente contrato.
