Sealed Tenders with samples and earnest money in shape ofDemand Draft are invited from Manufacturers/Suppliers/ Authorized Agentsfor supply of HDPE Laminated/Non laminated Bags/Jute Canvas Bags / B.TwillBags Laminated /Cloth Bag/Non-woven bags TENDER WITHOUT EARNESTMONEY AND SAMPLES WILL BE REJECTED.

2. The technical bid and the financial bid should be sealed by thebidder in separate covers duly super scribed and both these sealed covers are to

be put in a bigger cover which should also be sealed and duly super scribed.Tenders must be submitted in Technical bid consisting of all technical detailsalong with commercial terms and conditions and Financial bid indicating itemwise price for the items mentioned in the technical bid.

3. 5. The party in whose favour tender is decided would execute an

agreement and deposit security money @ 5% of value of order in the shape ofDemand Draft. Financial Bid will be opened in the presence of PurchaseCommittee and qualified Tenderers under Chairmanship of the ManagingDirector.

5. The Nigam reserves the right to increase or decrease the quantity,negotiate, accept, distribute the order among the tenderers or reject any or allthe tenders without assigning any reason.

TENDER NOTICE NO 09/2012

SPECIAL TERMS AND CONDITIONS:

1. Tenders must be submitted in Technical Bid and Financial Bid.

(a) Technical bid containing of all technical details alongwithcommiercial terms and conditions and as indicated in Annexure I

(b) Financial bid indicating item wise price for each items mentionedin the technical bid.

The technical bid and the financial bid should be sealed with lacwax by the bidder in separate covers duly superscribed and both thesesealed covers are to be put in a bigger cover which should also be sealedand duly superscribed. The technical bids are to be opened by theTechnical Evaluation Committee at the first instance and evaluated by acompetent committee or authority. At the second stage financial bids ofonly the technically acceptable offers should be opened for furtherevaluation and ranking before awarding the contract.

2.The tender must be submitted on the tender form.The tenderer mayretain the tender notice, specifications, special terms and conditions, theagreement form with him for future use.

3.The rate quoted in the tender must be inclusive of all taxes and F.O.R

destination at different centres of BRBN within the State of Bihar to bespecified later.

4.The tender documents are not transferable.

5.The successful tenderer shall have to execute an agreement on non-judicial stamp paper for proper supply of bags. A specimen of suchagreement is enclosed with the tender documents at Annexure-II. Theexpenditure on execution of agreement shall be borne by the successfultenderer.

6. Tender fee and Earnest Money:-

a. The tender documents can be obtained against payment ofRs.500/-(Rupees Five Hundred) only in cash or D.D drawn infavour of Bihar Rajya Beej Nigam Ltd., payable at Patna. Thetender fee is non refundable.

b. The tender must be accompanied by Demand Draft as anEarnest Money issued in favour of Bihar Rajya Beej NigamLtd payable at Patna as per following details:-

c. The earnest money shall be refundable if the tender is notaccepted. On the other hand in case of tenderers whose tenderis accepted, the earnest money shall be adjusted as part of thesecurity money. No tender shall be considered valid withoutthe earnest money.

7. Security Money

Successful tenderer shall be required to furnish a security moneyof 5% of the value of order placed to them within 10 days, from the dateof issue of purchase order or before assigning agreement whichever isearlier. This may be furnished in the shape of Demand Draft in favour of Bihar Rajya Beej Nigam Ltd payable at Patna.

8. Validity of Rate and Period

a) The tenderer shall keep their rates open for a periodof one year from the date of finalizing the tender.After the initial order it shall be open to the Nigam toplace order for the total/part quantity or distributeamong the suppliers, on the same rate, terms and

conditions. The same will remain valid for anyadditional quantity like to be ordered during the periodalso.

b) The successful tender/tenderers shall be required tosupply the bags duly printed as per schedule in theorder.

c) In case of unavoidable delay, where the delay in supplyis of more than a week, the matter of extension ofdelivery will be decided by the Managing Director,Bihar Rajya Beej Nigam Ltd, Patna or his

representative on merit upon written request by thesupplier.

d) Bags shall be purchased by the Nigam time totime as per requirement.

e) The numbers of bag shown in the tender may bevary.

9. Consequence of non Supply and Damages

a) All risks of loss, damages or depreciation togoods shall be upon the supplier until the material isdelivered at site in accordance with the provision of

contract.

b) Assuming that the supplier fails to deliver any or allthe material covered by the contract withinstipulated period the purchaser reserves the right inaddition to other legal remedies, to cancel the orderof suppliers, failing to execute the contract.

c) In the event of the suppliers failing to complete thesupply in time or according to the approvedspecification, the Nigam reserves the right to makesuch arrangement as it may deem fit for the

completion of the supplies on account of and at thesole risk of the suppliers.

d) In case the goods are not supplied according tospecifications and is decided to retain the inferiorgoods at the discretion of the Nigam, the supplier willbe entitled to receive the payment at the rate fixed bythe Nigam after taking into consideration theunsatisfactory quality of the material supplied and notat the rates mentioned in the order. The timeallowed for delivery of goods shall be deemed to beessence of contract. In case the goods are notdelivered within the stipulated period the Nigam reserves the right to recover the liquidated damages, asum equal to 2% of the contract price of theundelivered material per week subject to the maximumof 20% of the value of undelivered material. TheNigam also reserves the right to cancel the purchaseorder in case supplies are delayed beyond the scheduledate and to make such arrangement, it may think fitfor the completion of supplies on account and risk ofthe supplier. The additional expenses thus incurredtogether with the liquidated damages will be recovered

from the supplier out of their security deposit/earnestmoney or any other amount due to him.

It may be clearly noted that in view of some case of failureson the part of supplier to execute supply in the past, the clauserelating to imposition of liquidated damages shall be strictlyadhered to, and no plea regarding failure to execute supply in fullor part, shall be accepted on ground of strike, price rise or anyother ground.

10 Forfeiture and refund of the Earnest/Security Money

a) The successful tenderer to whom the supply order isplaced shall have to send acceptance letter within 10 days ofthe placement of purchase order, failing which the order shallbe liable for cancellations and lead to forfeiture of earnestmoney.

b)

In case the selected tenderer does not supply thestores at the quoted rates within the price of contract andcommits any breach one or more of these terms andconditions, the earnest money/ security money deposited bythe tenderer will be forfeited by the Nigam.

c) Earnest money of the unsuccessful tenders shall berefunded within a week after opening of Financial Bid of tendervide crossed cheques.

d) The earnest/security money deposited by thesuccessful tenderer shall be returned by the Nigam within

three months after the expiry of the contract period or the dateon which the supply is completed, including the supply whichmay arise in consequence of repeat orders placed during thethree months for which the rates quoted are to remain valid.

e) On due performance and completion of the orderduring the contract period, the security deposit will berefunded to the contractor without any interest within a periodof three months or with effect from the date of receipt of aformal request to this effect from the supplier.

11. Settlement of Disputes

a) Any difference or dispute out of or in connection with thistender or acceptance thereof, on the contract entered orconsequence thereof, shall be decided by arbitration. TheManaging Director of the Nigam or his nominees shall be thesole arbitrator and the arbitrators decision shall be final andbinding on both the parties. The nominees may be an officer ofthe Nigam. The tenderers will have no objection to suchappointment of any body, on the ground whatsoever, includingthat the such nominees in his official capacity deal with thematter at any stage.

b)

The parties agree that in the event of any disputes, neither willapproach any court of law unless they have resorted to andexhausted the remedy of arbitration as envisaged above.

c) The parties, do hereby also agree that the contract envisagedby these terms and conditions shall be deemed to have beenentered into at Patna and the civil courts at Patna only willhave the jurisdiction to try legal proceeding which may ariseout of this contract. Neither party shall file any proceeding inany other courts.

12. Furnishing of Income Tax and Sales Tax/VAT ClearanceCertificate

The tenderer should submit Photostat copies of theirincome and sales tax/ VAT clearance certificate in respectof the last assessment year.

Registration with Sales Tax Authorities

Tender from such parties who are not duly registered withthe sales tax authorities shall be immediately rejected.Sales Tax registration number should invariably be quoted.

This agreement made on the.day of2011between (Hereinafter called the suppliers) which expressing here the context soadmits or implies includes his heirs, execution and assigns on the ONE PARTAND THE BIHAR RAJYA BEEJ NGAM LTD, AGRIL.FARM, MITHAPUR, PATNA800001 through its directors, or his authorized officer (hereinafter called theNigam) which expression where the context so admits or implies in itssuccessors and assigns of the other part.

Where the Nigam requires the suppliers of materials as perspecification required as set forth in the schedule here and WHEREAS thesuppliers have agreed to supply the materials at the price indicated againsteach item in the schedule F.O.R destination. 1- Further demand if any (other than mentioned above shall beintimated to the supplier within 30 days of finalizing thetender and the suppliers shall supply the same on the ratesspecified in this indenture.

2- The supplier also undertakes to guarantee that the supply of

goods shall strictly confirm to the specifications given and thetender notice and that the Nigam shall be within its rights torefuse or accept in whole or part of the supply which is foundsubstandard or otherwise defective this connection, theNigam may is it so like get the sample to tested and in thatcase the acceptance of supplies will be subject to result ofsuch test.

3- The supplier shall inform the Managing Director or any otherofficer of the Nigam as may be indicated in the supply orderregarding dispatch of materials telegraphically. The postshall be dispatched by registered post immediately after

consignment is dispatched by rail or road transport. Anydamages or loss caused to the goods in transit for whateverreason shall be the responsibility of the supplier and theNigam shall in no way be responsible for the same.

4- The supplier undertakes to indemnify the Nigam for any lossor damages that may be caused to the later due to wrong,short and non-delivery or defective supply of goods or supplynot reaching to destination on schedule.

INSPECTION

a)

Primary inspection will be done by the Institute ofJute Technology, 35 Bally Ganj, Circular Road,Kolkata-700019 or any other authorized agencybefore dispatch of finished bags who will alsosupervise loading.

b) Formal inspection at Plant level or unit level withregard to quantity, printing, stitching and numberreceived shall also be carried out at consignee levelby the Officer/Committee authorized for the same.During inspection representative of supplier may

present.

c) If any deviation beyond tolerance limit of anyparameter in the report of either I.J.T or LocalInspection Committee. Deduction in payment maybe followed as per para 6.2

PAYMENTS

All invoices shall be prepared in triplicate and shall be signedby the suppliers or its authorized Agent. The invoice shall besent in duplicate to the Regd. Office of the Nigam. 90%payment will be released after satisfactory inspection ofconsignment within 15 days of delivery.

6.1 Balance 10% payment of the supplied material willbe made within 30 days after the completion of supply &receipt of all relevant papers including final accountingpertaining to supply in order.

6.2 In case of deviation in specification of bags (inparameter) beyond the tolerance limit, there will besubstancial deduction in payment of bill as follows:-

a) Minimum deduction will be 5%, If average of

deviation in all parameters is more than 5%, thendeduction in payment will be accordingly.

b) Maximum deviation in any parameter of sampled/chosen bag should not be more than 7.5%

7- If the supplier fails to supply the material as per specificationand delivery schedule provided in this indenture, the Nigamshall have the right to recover from supplier concerneddamages of Rs. 100/- per day for consignment delayedsubject to maximum of 10% cost of the supplies delayed.

8- In the event of breach of agreement by the supplier furtherreserves the right to purchase part of whole of the good fromany other source and the supplier shall be liable tocompensate any other losses sustained by the Nigam due toin arranging the supply from other sources.

9- If the supplier is a registered S.S.I Unit for manufacture of

Jute Canvas Bag, he shall deposit a security amounting to2% of total value of the order placed with them, for thesuccessful performance of the contract. Amount shall bedeposited by the supplier within 7 days or signing in thisagreement. Non registered S.S.I Unit shall have to deposit

5% of the total value of order as Security Deposit.

10- The security deposited by the supplier shall be refunded tohim after 3 months of the completion of the contract to thesatisfaction of the Corporation. In the event of any damageor loss caused to the Nigam due to breach of agreement bythe supplier the Nigam shall have the right to forfeit thesecurity and also the, supplier fails to execute the contractfaithfully.

11- Materials of each consignment supplied by the supplier shallbe inspected and examined by the authorized Officer/Agentsof Nigam and in case the same do not confirm to the requiredspecification in any means whatsoever, the Nigam shall effectthe part wise consignment, province so defective. Once a lothas been rejected no further consideration of the acceptanceshall be made even at any reduced price. No tolerance will begranted for specification other than what has been provided

in the order. The Nigam shall return the reject item and thesupplier shall lift such rejected item within 10 days of receiptof the information of rejection, failing which the Nigam shallnot be responsible for the safety such rejected item andgodown, charges as considered fit by the Nigam shall becharged for the period the ordered materials and kept in thestores of the Nigam.

12- The tender document and all consequent correspondence

with the successful tender(s) shall from part of thisagreement until otherwise any change is approved or agreed

to by the Nigam.

13- All disputes in connection with the interpretation of clause(s)herein specified and all other dispute arising direct or indictlyor in connection with this indenture between the parties hereto shall be referred for arbitration as provided part settlementof Disputes or Annexure B of the tender do whose award inthe matter shall be final and binding on both the parties tothis indenture.

14- In faith and testimony the parties have executed thisagreement in duplicate on the date month and year first

BANK GUARANTEE IN LIEU OF EARNEST MONEY/ SECURITY MONEY

The Bank Guarantee executed on this..day of 2011 by..Bank hereinaftercalled The Bank which expression shall include wherever permissible itssuccessor and assigns, in favour of Bihar Rajya Beej Nigam Ltd., Patna throughits Managing Director or his authorized Officer (hereinafter called the Nigam),which expression includes its successors and assigns at the request ofM/S.hereinafter calledthe Tender/supplier.

Whereas the tenderer supplier has to pay to the Nigam an earnest

money/security money of Rs..or furnish a Bank Guarantee inlieu of the earnest money/security money in respect of tender for supply ofB.Twill/D.W.Jute Canvas Bags mentioned in the tender document/supplyorder.

And whereas the tenderer supplier has decided to furnish BankGuarantee and has requested the Bank to furnish the same to the Nigam

And whereas the Bank has agreed to furnish the Bank Guaranteein lieu of deposit of earnest/security money. Now therefore, the Bank herebyagrees and guarantees:

If the tenderer/supplier commits any breach of theterms and conditions of the tender documents/supply order in respect of tender and becomes liableto forfeiture of the earnest money/security money orany part thereof, the Bank hereby unfortunately andirrecovably agrees and undertakes and guarantee topay to the Nigam on demand and without demandthe amount of earnest/ security money stated above.

2 The Bank further agrees that the Nigam shall be thesold judge of and as to whether the said

tenderer/supplier has committed and breach orbreaches of any of the terms and conditions of thetender document/supply order and the extend of lossdamages costs charges and expenses to or sufferedby the Nigam on account thereof, but not exceedingthe amount of earnest money/security money statedabove, and the decision of the Nigam that the saidtender/supplier has committed such breach orbreaches shall be final and binding on the Bank.The Bank hereby undertakes guarantee that it shall

pay the amount of Bank Guarantee on demand bythe Nigam without asking or raised any questionabout the validity of the demand.

3 The Bank undertake that it shall not be necessaryfor the Nigam proceed against the tender/supplierbefore demanding the aforesaid amount of Bank

Guarantee from the Bank or proceeding against theBank and the guarantee herein contained shall beenforceable against the Bank.

4 The Bank undertakes not to revoke the guaranteeduring currency except with the previous consent ofthe Nigam in writing and agrees that any change inthe constitution of the tenderer of the Bank shall notdischarge the liability of the Bank hereunder.

5 Not with standing anything contained herein beforethe liability of the Bank under this guarantee is

restricted to Rs.The guarantee of the Bankshall remain into force up to 210 days from the dateof opening of the tender in case of earnest moneyfrom the date of submission against security moneydeposit unless the Nigam make a claim from theBank in writing on or before the said 180 days, allthe rights of the Nigam under the said guaranteeshall be forfeited and the Bank shall be relieved anddischarge from all liability hereunder.
